A RESOLUTION CONFIRMING THE APPOINTMENT OF
SPECIAL COUNSEL FOR ECONOMIC DEVELOPMENT

Whereas, pursuant to Section 4 of Article V of the Charter Mayfield Village, the Law Director has certified to the Mayor and Council that there may be occasions where he will be unable to represent the municipality with regard to specific business applications for economic development incentives in Mayfield Village due to potential conflict of interest; and

Whereas, the Mayor has appointed Diane Calta as special counsel to augment the services of the Law Director or substitute for him in these areas relating to economic development.

BE IT RESOLVED BY THE COUNCIL OF MAYFIELD VILLAGE, OHIO, THAT:

SECTION 1. The appointment of Diane Calta as special counsel to augment the services of the law director with regard to economic development matters is hereby confirmed.

SECTION 2. Such economic development matters shall be defined as those relating to incentives for attracting and keeping businesses; assisting with business expansion (including assisting with loan and related grant applications); and developing and offering appropriate incentive agreements.  In those instances that special counsel is engaged, the Law Director shall have no responsibility or liability for the work of the special counsel, nor an obligation to review the invoices related thereto, unless requested by the Mayor or Council.  Further, such special counsel shall be limited to the same hourly rate as the Law Director and only for the services of Diane Calta.

SECTION 3. This resolution shall be adopted upon passage by Council and signature by the Mayor.

SECTION 4. The Council finds and determines that all formal actions of this Council relating to the adoption of this Resolution have been taken at open meetings of this Council; and that deliberations of this Council and of its committees, resulting in such formal action, took place in meetings open to the public, in compliance with all statutory requirements including the requirements of Section 121.22 of the Ohio Revised Code.
