AN EMERGENCY ORDINANCE
AUTHORIZING AND DIRECTING
THE MAYOR AND PRESIDENT OF COUNCIL
TO ENTER INTO A PURCHASE AGREEMENT
WITH GOVERNOR’S VILLAGE, LLC
WHEREAS, Governor’s Village, LLC currently owns and operates an assisted living facility known as Governor’s Village, (the “Facility”) at 280 N. Common Blvd. in Mayfield Village, Ohio; and
WHEREAS, Governor’s Village, LLC wishes to expand its current operations, (the “Expansion”); and
WHEREAS, Governor’s Village has reviewed its current site and determined that additional land is necessary to accommodate the Expansion of its Facility; and
WHEREAS, Governor’s Village wishes to acquire a 1.11 acre parcel of land owned by Mayfield Village located adjacent to and abutting its current property upon which its current Facility is operated to accommodate the Expansion; and
WHEREAS, such land is depicted on Exhibit “A”, to the Purchase Agreement (the “Property”); and
WHEREAS, the Property is no longer necessary for municipal purposes and has been appraised by a qualified appraiser; and
WHEREAS, the appraised value of the property is $4500.00; and
WHEREAS, Mayfield Village wishes to sell the Property to Governor’s Village, LLC, in accordance its power of local self-government granted by Article XVIII of the Ohio Constitution and without the need of advertising and competitive bidding, to spur economic and community development in the Village.
NOW, THEREFORE, BE IT ORDAINED BY THE COUNCIL OF MAYFIELD VILLAGE, OHIO, THAT:
SECTION 1. The Mayor and President of Council are hereby and herein authorized and directed to enter into the Real Estate Purchase Agreement with Governor’s Village, LLC a copy of which is attached hereto and incorporated herein by reference as Exhibit “1” to sell the Property in accordance with the Village’s power of local self government granted by Article XVIII of the Ohio Constitution and without the need of advertising and competitive bidding.
SECTION 2. The Council finds and determines that all formal actions of this Council relating to the adoption of this Ordinance have been taken at open meetings of this Council; and that deliberations of this Council and of its committees, resulting in such formal action, took place in meetings open to the public, in compliance with all statutory requirements including the requirements of Section 121.22 of the Ohio Revised Code.
SECTION 3. This Ordinance is hereby declared to be an emergency measure immediately necessary for the health, safety and welfare of the residents of Mayfield Village, Ohio. It shall, therefore, take effect immediately upon the passage by the affirmative vote of not less than five (5) members elected to Council and approval by the Mayor or otherwise at the earliest time allowed by law.
